Acceptance of Terms and Conditions of Use
PLEASE READ THESE TERMS AND CONDITIONS OF USE CAREFULLY. YOUR USE OF THIS WEBSITE OR ANY INFORMATION OR MATERIAL CONTAINED ON THIS WEBSITE IS SUBJECT AT ALL TIMES TO THESE TERMS AND CONDITIONS OF USE. Cleaning Connect Holdings Inc., a company duly incorporated under the laws of the Province of British Columbia ("Cleaning Connect") owns and operates this website, located at http://www.cleaningconnect.com (the "Domain Name") (collectively, Cleaning Connect and the Domain Name are the "Website"), an internet portal and website that is primarily an online directory and secondly a matching service bringing service providers and other professionals in the cleaning industry (the "Service Providers" or the "Members") and potential Customers together to facilitate the solicitation of quotes and jobs.
This Terms and Conditions of Use Agreement (the "Agreement") sets out the terms and conditions under which you may access and use the Website. By accessing and using the Website, you are indicating your acceptance to be bound by the terms and conditions of the Agreement. If you do not accept these terms and conditions, you must not access or use the Website. If you are dissatisfied with the terms, conditions, rules, policies, guidelines, or practices of Cleaning Connect operating the Website, your sole and exclusive remedy is to discontinue using it. Cleaning Connect may revise or amend the Agreement from time to time and at any time by updating this posting. Your use of the Website after any such revisions or amendments are posted shall signify your agreement to be bound by the revised or amended terms and conditions. You should visit this page on the Website periodically to review this Agreement, as so revised or amended from time to time.Use of the Cleaning Connect services and the Website is allowed only to those individuals who can form legally binding contracts under applicable law.
Cleaning Connect welcomes your interest in the Website.Please read this Agreement in full before becoming a user of our services or one of the Members of Cleaning Connect.
Definitions:
Service Provider: A service provider means any individual, organization, or other legal entity that registers as such with Cleaning Connect as one of the Members to have their service details listed in the Cleaning Connect directory and/or provide quotes and services to Consumers/Customers.
Consumer/Customer: A Consumer or Customer means any user of Cleaning Connect services who initiates a service request either through the Website or a Cleaning Connect representative.
User: A user is any Consumer, Customer, and/or Service Provider or Member that uses Cleaning Connect services or receives benefit from Cleaning Connect either through the Website, telephone, email, or any other means.
Lead: Any opportunity provided by Cleaning Connect to its members whereas the opportunity is a Consumer/ or Customer that has given reasonable indication that they are requiring services and or quotes from the members, either through the website or directly to a Cleaning Connect representative. More details on leads found in the Types of Leads section below.
Cleaning Connect Fee ("Fee"): The Cleaning Connect Fee shall be defined as described in the section titled Pricing below.
SERVICE PROVIDERS
Terms
Cleaning Connect is not an agent for or affiliated with any of the Members in our directory. Cleaning Connect does not represent you, your company, or the Customer.
As a Member you agree to allow:
- Cleaning Connect to post the information you provide in our directory and on your profile webpage.
- Cleaning Connect to post any news or other information at its sole discretion regarding your business.
As a Member of the Website, you are a business or intend to operate a business and have provided true and accurate business details.
You acknowledge and agree that Cleaning Connect, its officers, partners, and agents are not responsible for the accuracy of information provided by the Customer. Your company, employees, and agents will adhere to the privacy policy (http://cleaningconnect.com/policies.asp) and will not, in any form or manner whatsoever, disclose the Customer information to any third party. Cleaning Connect makes no guarantees and takes no responsibly for the authenticity of content in service requests.
As a Member, you agree Cleaning Connect is not responsible for any information provided by the Customer related to the accuracy of the job, bid, contract, details, etc. It is your responsibility to verify and collect all pertinent information in order to provide the services to the Customer.
Disputes between you and/or your company and any Customer are in no way related to Cleaning Connect. Your company is not permitted to involve Cleaning Connect in any such disputes, disagreements, or any other Customer dialogue. Moreover, Cleaning Connect does not condone a Member to involve the Customer in any disputes the Member may have with Cleaning Connect. In the event you or your company receives a complaint from a Customer for whatever reason, or infringes upon the aforementioned directives, Cleaning Connect may at its sole discretion remove the Member from the Member directory and terminate the membership.Standard membership cancellation penalties and fees will still apply in this instance.
Cleaning Connect Members are asked to provide insurance, licensing, security clearances, and references if available.
Cleaning Connect Members who provide proof of insurance, licensing, and references are able to use the CCN logo for business and advertising use. All paid Members receive a listing of their company profile on the Website and, when available, access newsletters, peer networking, events, training, resources and offers from Cleaning Connect partners.
Membership
The monthly membership fee provides the Member with a listing of their company profile in the member directory within the Website. Cleaning Connect will make every effort to generate opportunities for each of the Members, but, due to the inherent nature of marketing, paying the membership fee does not guarantee that a Member will obtain cleaning contracts, jobs, bids, or other services for their business through Cleaning Connect. Furthermore, Cleaning Connect does not guarantee to obtain for, provide or send to the member job, bid, or contract opportunities in the region in which the member operates their business. Due to the inherent nature of marketing, and the time and financial commitment required to achieve success with marketing efforts, the member agrees to commit to a one year membership term (12 monthly membership payments) when registering with Cleaning Connect for any membership type. Membership fees are non-refundable. Membership fees are billed monthly to the credit card(s) the member places on file with Cleaning Connect
Should you cancel your membership with Cleaning Connect, you and your company agree to pay Cleaning Connect all monies and fees outstanding, including any membership fees still due under the terms of the contract (i.e. all monthly membership fees not yet paid (remaining) for the duration of the one year membership term). In addition, if a Member cancels their membership prior to the anniversary date of their membership activation, the Member forfeits all membership benefits for the remainder of their membership term. Annual membership will automatically renew unless Cleaning Connect receives written notice of at least one full month before the expiration of the membership that the Member wishes to not renew their membership. Declined credit cards or insufficient funds are subject to a $45+tax fee per instance. The membership fee may change without notice upon annual renewal.
Support Fees
Members who make of use of Cleaning Connect phone and/or online chat support services with a live agent, for whatever reason the inquiry, are charged $65 per hour billed in half-hour intervals. Minimum $32.50 per call. Applicable taxes extra. Free support options are available with each membership package. The Member should review their respective membership details to review free support options available.
Pricing
Cleaning Connect provides the ability for Service Providers to view service requests from Consumers using Cleaning Connect services. Service Providers may choose to accept the service requests and be sent the Customer details, unless they have agreed otherwise. You are paying for the details of a Customer who has given reasonable indication that they are ready to schedule, will be ready to schedule, or already have scheduled a cleaning related service. The Fee is paid by the member whether or not the service provider actually provides services to the Customer or is paid for a requested service upon completion of providing the services. The Member is responsible for paying all applicabletaxes and for all services the Member renders, including all costs the Member incurs in providing services to a Customer.
The Fee will be deducted from the credit card that the service provider has placed on file with Cleaning Connect upon registration. The Fee will be charged to the Member's credit card at the time or just before the Customer information is sent to the Member. Cleaning Connect reserves the right to charge a $45+tax administration fee for invalid cards or declines in attempting to charge the Fee to the card on file. Cleaning Connect Fees are non-refundable. However, Cleaning Connect may, at its sole discretion, refund Cleaning Connect Fees for any reason.Customer details will not be sent if payment was declined. However, before future service requests can be sent to you, the decline fee will have to be paid. This is at the discretion of Cleaning Connect. Your card information is held securely in an encrypted secure database. In the event that the Member has multiple accounts or multiple credit cards on file, Cleaning Connect has the right to attempt charges on all the cards in the event that the primary card has been declined, or the spread the payment over several credit cards to ensure complete payment is received.
By placing the credit card on file the member expressly authorizes us to charge the Service Provider's credit card for any fees the Service Provider accrues as a result of using any Cleaning Connect services. By using the Member's credit card to pay Cleaning Connect Fees due, the Member agrees to unconditionally waive any and all "charge back" rights. If the Member has a concern about a charge, the Member must contact Cleaning Connect via the Contact Us feature on the Website. If the Member issues a charge back either on purpose or by mistake, the Member agrees to pay a $75 processing and administration fee in addition to the charge back amount to cover the costs of processing each charge back.
Failure to pay any of the fees due, including penalty and charge back administration charges, will result in the Member's account being handed over to a collection agency. Past due charges will be subject to a finance charge equal to the maximum allowed under the law. If the Member's account is past due, the Member agrees to pay all related costs of collection, including without limitation, court costs, attorney fees, collection agency fees, and administrative costs. All fees stated are in local currency, unless otherwise noted.
Types of Leads
Cleaning Connect provides its Members with service requests in the form of leads, of which there are four types. The distinction in names is made simply for guidance for the Member as to the level of qualification and type of the lead. Leads are split and defined as follows:
Commercial Leads:
Bidding Opportunity: A service request received by Cleaning Connect whereas Cleaning Connect has received reasonable indication the request is for a commercial establishment and the requestor is in the process of looking for quotes. Bidding opportunities may be sent to up to five Members.
Jobs: A service request received by Cleaning Connect whereas a Cleaning Connect representative or booking engine has received reasonable indication the request is for a commercial establishment, and the requestor has reviewed their service requirements and agreed to a time-frame and pricing for their service. The Customeragreement is taken as a good-faith agreement by receiving either verbal or written indication the Customer would like to go ahead with the arranged service, but is not guaranteed nor is the Customer bound to any terms.
Residential Leads:
Bidding Opportunity: A service request received by Cleaning Connect whereas Cleaning Connect has received reasonable indication the request is for a residential establishment and the requestor is in the process of looking for quotes. Bidding opportunities may be sent to up to five Members.
Jobs: A service request received by Cleaning Connect whereas a Cleaning Connect representative or booking engine has received reasonable indication the request is for a residential establishment, and the requestor has reviewed their service requirements and agreed to a time-frame and pricing for their service. The Customeragreement is taken as a good-faith agreement by receiving either verbal or written indication the Customer would like to go ahead with the arranged service, but is not guaranteed nor is the Customer bound to any terms.
No lead is guaranteed to succeed, and the Member acknowledges that Cleaning Connect has not made such claims. As a general guideline, "Job" leads are more qualified, and have a higher success rate, then do "Bidding Opportunities."
Lead Fees:
Upon accepting an opportunity received through the job board, or it being sent to the Member automatically through any of our marketing programs the Member may have signed on to (to which these fees apply) the Member agrees to be charged fees as per the following fee schedule: 35% of the face-value of a residential job opportunity where the indication is that the job is one-time only. 65% of the monthly face value of a residential job where the indication is that the job is a regular service (weekly, biweekly, monthly, etc). $15-$30 for a residential bidding opportunity, the exact fee set at the discretion of Cleaning Connect and dependent on the quality of the lead and scope of the job. $25-$200 for a commercial bidding opportunity, the exact fee set at the discretion of Cleaning Connect and dependent on the quality of the lead and scope of the job. 200% of the monthly face value of a commercial job where the indication is that the job is a regular service (daily, weekly, biweekly, monthly, etc). 50% of a commercial job opportunity where the indication is that the job is one-time only. Applicable taxes extra.
Definition of face value: The post-tax dollar amount indicated by the Customer that they are willing to pay for the service.
Other Regulations
The Member may not accept service requests for the intention of delegating the performance of the potential work to another service provider (whether a Cleaning Connect Member or not) or any other third party for the purposes of getting a commission, agency, or placement fee.
Members acknowledge that they are solely responsible for Customer service and must provide a 100% service guarantee to all their Customers garnered through Cleaning Connect. The Members are solely responsible for quoting all jobs, scheduling and managing all appointments,
By accepting a service request, the Member authorizes Cleaning Connect to provide the service requestor with the Member's contact information to facilitate and/or assist in expediting contact between a Customer and a Member.
Cleaning Connect provides its services in addition to its directory, to provide a platform to connect its Members with Consumers. You acknowledge and agree that Cleaning Connect has no liability for the action, or inaction, of any Member and that there is no employment, part-time employment, consulting, contractor, joint venture, or agency relationship between Cleaning Connect and its Members.
CONSUMERS
Service Requests
Any user may submit a request for service under the terms of this Agreement. If a User is acting as a Consumer, he or she must be able of forming legally binding relations under applicable law. A Consumer must be at least 18 years of age to submit any type of service request. All service requests submitted via the phone, the Cleaning Connect website, and any other sites owned and operated by Cleaning Connect, must not be in any violation of the local law.
When a Consumer books are service request directly via a Cleaning Connect agent, virtual or human, the Consumer explicitly implies to pay the service provider the amount of the quote. The Consumer makes honest and good-faith statements about the scope and detail of their required service. The description of the service request must be truthful and accurate. False or understated service requests may result in additional fees being levied by the Service Provider.
No Warranty or Endorsement
The Website and all content and information contained herein, including without limitation, all text, graphics, links or other items, is provided on an "as is", "where is", and "as available" basis. By accessing and using the Website you acknowledge and agree that the use of the Website and the content and information provided on the Web-site is entirely at your own risk. To the fullest extent permitted by law, the Website makes no representations or warranties of any kind, implied, express, or statutory that any content or information will be accurate, complete, reliable, suitable or timely, including without limitation, any and all representations or warranties of title, that any content or information, data, software, product, service, or resources contained in or made available through the Web-site will be of merchantable quality or fit for a particular purpose, of freedom from computer viruses or harmful components and non-infringement of third-party rights, that the operation of the Website will be uninterrupted or error free, that defects or errors in the Website will be corrected, and that communications to or from the Website will be secure or not intercepted.
Cleaning Connect does not endorse or recommend any of the Service Providers registered as Members with Cleaning Connect. It is the responsibility of the Consumer to enter in contact with the Service Provider to review their suitability for the service in question. Cleaning Connect does not warrant or guarantee the performance of the Service Provider or the outcome or quality of any of the services they provide. The Service Providers are not employees or agents of Cleaning Connect, nor is Cleaning Connect an agent of the Service Providers. Cleaning Connect does not perform, and is not responsible for, any of the services requested by the Consumer in the service request. Your use of the Website is at your sole risk.This Agreement and any registration for or subsequent use of this Website by any user will not be construed as creating or implying any relationship of employment, agency, franchise, partnership, or joint venture between you and the Website.
CONSUMERS SHOULD CONDUCT THEIR OWN INVESTIGATION OF SERVICE PROVIDERS, INCLUDING WITHOUT LIMITATION, WHETHER SERVICE PROVIDERS ARE APPROPRIATELY LICENSED, FREE OF SIGNIFICANT STATE OR PROVINCIAL-LEVEL CIVIL LEGAL JUDGMENTS, AND CARRY APPROPRIATE GENERAL LIABILITY INSURANCE OR BONDING. CLEANING CONECT DOES NOT REPRESENT OR WARRANT THAT THE INFORMATION RECEIVED BY CONSUMER FROM STATE, PROVINCIAL OR OTHER GOVERNMENT AGENCIES OR FROM THIRD PARTY SOURCES IS ACCURATE, ERROR FREE, OR THAT IT IS UP TO DATE OR UPDATED AT THE TIME THAT CONSUMER CHECKS SUCH INFORMATION. MOST AGENCIES HAVE PERIODIC UPDATE CYCLES OR SCHEDULES AND THIS INFORMATION IS NOT UPDATED ON A REAL-TIME BASIS BY SUCH AGENCIES AND THIRD PARTY SOURCES.
Disputes
Cleaning Connect will not work to resolve any disputes between a user and a Service Provider and is not responsible for disputes, claims, losses, injuries or damage of any kind that might arise out of or relate to conduct of Service Providers or users. In exchange for the privilege of accessing the Website, our Customer booking agents, or other booking engines operated by Cleaning Connect, you further agree to release Cleaning Connect from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with any dispute you have with one or more Service Providers or users.
MISCELLANEOUS
Interactions and Transactions with Other Users.
YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. YOU UNDERSTAND THAT CLEANING CONNECT DOES NOT IN ANY WAY SCREEN ITS USERS, NOR DOES CLEANING CONNECT INQUIRE INTO THE BACKGROUNDS OF ITS USERS OR ATTEMPT TO VERIFY THE STATEMENTS OF ITS USERS. CLEANING CONNECT MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF ANY CONSUMER OR ITS ABILITY TO PAY A SERVICE PROVIDER OR ANY SERVICE PROVIDER'S ABILITY TO PROVIDE A SERVICE COMPLIANT WITH THE CONSUMER'S SERVICE REQUEST.
YOUR RIGHTS UNDER CONTRACTS YOU ENTER INTO WITH SERVICE PROVIDERS ARE GOVERNED BY THE TERMS OF SUCH CONTRACTS AND BY APPLICABLE FEDERAL, STATE, PROVINCIAL AND LOCAL LAWS. SHOULD YOU HAVE A DISPUTE WITH ANY SERVICE PROVIDER, YOU MUST ADDRESS SUCH DISPUTE WITH THE SERVICE PROVIDERS DIRECTLY.
Violation of Rules/Membership Cancellation
Violation of this Agreement and/or the Privacy Policies will result in removing you and your company from the Cleaning Connect Network.
Cleaning Connect reserves the right to remove any member at its sole discretion. Cleaning Connect reserves the right to make changes to this Agreement at any time, without notice.
Indemnification
YOU AGREE TO INDEMNIFY CLEANING CONNECT, AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, CO-BRANDERS, AND OTHER PARTNERS AND HOLD THEM EACH HARMLESS FROM ANY AND ALL CLAIMS OR DEMANDS, INCLUDING ATTORNEY'S FEES, MADE BY ANY THIRD PARTYDUE TO OR ARISING FROM YOUR USE OF THE CLEANING CONNECT SERVICES OR IN CONNECTION WITH THE CLEANING CONNECT WEB SITE.
General Provisions
You acknowledge and agree that Cleaning Connect services are provided to you without any warranty whatsoever, and your sole and exclusive remedy, and Cleaning Connect's sole obligation to you or any third party for any claim arising out of your use of the Cleaning Connect services or the Cleaning Connect website, is that you are free to discontinue your use of the Cleaning Connect services or the Cleaning Connect Web site at any time. Applicable fees may apply.
To the fullest extent permitted by law, neither the Website nor any of its affiliates, subsidiaries, holding company, shareholders, directors, officers, employees, independent contractors, agents, and successors and assigns shall be liable for any damages of any kind, including without limitation, direct or indirect, special, incidental, punitive, or consequential damages, losses or expenses arising in connection with the Website or with the use of the Information, for any reason whatsoever, including without limitation the use or inability to use the Website by any party, the failure to perform, error, omission, interruption, defect, delay in operation or transmission, computer virus or line or system failure, loss of profit or income. This limitation of liability shall apply notwithstanding the Website or any of its affiliates, subsidiaries, holding company, shareholders, directors, officers, employees, independent contractors, agents, and successors and assigns being advised of the possibility or potential of such damages, losses, or expenses. Hyperlinks, links to third-party web-sites, and references to other internet resources are provided and used at the sole risk of the party accessing the Website and your attention is drawn to the fact that the content, accuracy, opinions expressed, together with other links provided by these resources are not investigated, verified, monitored, or endorsed by the Website or any of its affiliates, subsidiaries, holding company, shareholders, directors, officers, employees, independent contractors, agents, and successors and assigns in any manner whatsoever.
By accessing and using the Website you acknowledge and agree that all intellectual property, including without limitation trade-marks, marks, logos, trade names, business names, service marks, copyright, and all other rights used or embodied in the Website are and shall remain the sole property of the Website. All of the information and material supplied by the Website constitutes part of the Website's confidential and proprietary information and no party accessing the Website may reproduce, copy, reverse engineer, or disclose such information without the prior written consent of the Website. No party accessing the Website may attempt to tamper with, modify, reverse engineer, gain unauthorized access to, or in any way alter any software comprised or contained in the Website. You may only use the information retrieved from the Web-site for your own personal and non-commercial purposes. You may not copy, distribute, or redistribute the information, including by caching, framing or similar means or sell, resell, re-transmit, transfer, assign, or otherwise make the information retrieved from the Website available in any manner to any third-party. You may not store the information retrieved from the Website for the purposes of creating a historical database or historical data product.
Notwithstanding any of the provisions of this Agreement, the Website shall not be liable to the Customers or any other person for any delay in performing or failure to perform any of the services under this Agreement if performance is delayed or prevented due to any cause or causes that are beyond the Website's reasonable control, including without limitation: (a) acts of God, such as fire, lightning, storm, hurricane, tornado, flood, earthquake, tsunami, or other natural disaster; (b) war, terrorism, riot, civil unrest, insurrection, revolution, commotion or acts of a public enemy; (c) labour shortages, strikes, lock-outs or other labour, industrial, or trade action disputes, disruption, or disturbances; (d) theft, sabotage, malicious damage, fraud, epidemic, or quarantine restrictions; (e) material shortages; (f) general failure, malfunction or unavailability of power, utilities, telecommunications, data communications or related services; (g) action, demand, order, restraint, restriction, requirement, or prevention by any government or court; or (h) applicable law or regulation. Any delay or failure of this kind shall not be deemed to be a breach of this Agreement by the Website, and the time for the Website's performance of the affected obligation shall be extended by a period that is reasonable under the circumstances.
This Agreement constitutes the entire agreement of the parties and supersedes any prior communication between the parties with respect to the subject matter hereof.
The Customer consents to the use of: (a) electronic means to complete this Agreement and to deliver any notices pursuant to this Agreement; and (b) electronic records to store information related to this Agreement or your use of the Website. The date of receipt shall be deemed to be the date on which such notice is transmitted.
This Agreement will inure to the benefit of Cleaning Connects successors, assigns and licensees. If any provision of this Agreement shall be deemed unlawful, void or unenforceable, for any reason, by any court of competent jurisdiction that provision shall be modified in order to make it enforceable, while maintaining the spirit of the provision. Alternatively, if modification is not possible, such provision shall be stricken and shall not affect the validity and enforceability of the remaining terms. The failure of Cleaning Connect to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Cleaning Connect services or this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. The section titles in this Agreement are for convenience of reference only and have no legal or contractual effect. This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia, Canada. You agree to submit to jurisdiction in British Columbia and that any claim arising out of or related to this Agreement will be brought solely in a court in Vancouver, British Columbia, Canada.
